Bitcoin Treasury Companies: Why the Capital Structure Matters

Bitcoin treasury companies promise a simple proposition: use corporate financing to accumulate more bitcoin per share. The latest filings show why the reality is more demanding. Once debt, preferred stock, collateral requirements and recurring cash obligations enter the picture, shareholders no longer own a clean proxy for Bitcoin. They own a capital structure whose resilience depends on access to financing as well as the price of the asset.

That distinction has become clearer in 2026. Strategy has expanded the model at enormous scale while formalising a dollar reserve and a programme that permits bitcoin sales for specified corporate purposes. Fold Holdings, operating at a much smaller scale, sold bitcoin to eliminate bitcoin-backed debt after earlier facing a collateral-maintenance notice.

The lesson is not that every Bitcoin treasury strategy is unsound. It is that the relevant unit of analysis is the whole balance sheet, not the number of coins in a press release.

The treasury model has become a financing model

A conventional corporate treasury is designed mainly to preserve liquidity and fund operations. A Bitcoin treasury company makes a more ambitious trade: it accepts a volatile reserve asset in pursuit of long-term appreciation, then may issue common shares, convertible debt or preferred stock to buy more of it.

This can work favourably when investors value the company above the net value of its assets. New shares can then raise more cash than the proportionate bitcoin exposure surrendered by existing holders. If the proceeds buy bitcoin, bitcoin per diluted share can rise.

But the mechanism is conditional. Issuing common stock dilutes ownership. Debt adds repayment and interest claims. Preferred stock adds dividends and sits ahead of common shareholders. If financing proceeds must cover those obligations rather than purchase bitcoin, the denominator can rise without a matching increase in the reserve asset.

Strategy's second-quarter filing makes that tension unusually explicit. It says some 2026 common-stock proceeds funded its US-dollar reserve, preferred dividends and convertible-note interest. Because that issuance increased assumed diluted shares without a corresponding increase in bitcoin holdings, it reduced or offset increases in the company's bitcoin-per-share measures.

That is the crucial analytical shift. Coin accumulation and shareholder accretion are not the same thing.

Scale does not remove the cash-flow question

Strategy remains the dominant example. It reported 846,000 bitcoin at 30 June 2026 and said it had reduced convertible debt to about $6.7 billion. Yet its preferred securities and debt also created substantial recurring obligations.

The same filing put current expected annual preferred dividends and interest expense at approximately $1.76 billion as of 30 June and 24 July, assuming declared preferred dividends and a 12% annual rate on STRC. Strategy held a $2.4 billion US-dollar reserve at quarter-end and $3.75 billion by 24 July, representing roughly 16 and 26 months of those expected payments, respectively.

The reserve is a form of risk management, not evidence that liquidity has ceased to matter. Strategy says it intends to maintain the reserve through a combination of capital-market issuance and bitcoin sales. Its board-authorised monetisation programme permits sales to add up to $1.25 billion to the reserve, meet dividends and interest, replenish liquidity, or fund security repurchases under specified conditions.

This produces a feedback loop. Strong market access can help preserve bitcoin exposure by funding obligations externally. Weak market access can make new issuance more dilutive or unavailable, increasing the importance of cash reserves and, potentially, bitcoin sales.

The asset may be decentralised. The corporate wrapper is still dependent on conventional capital markets.

Fold shows how collateral changes the risk

The smaller-company experience illustrates a different version of the same problem.

Fold disclosed that it received a collateral-maintenance notice in February 2026 after Bitcoin's price fell below a threshold under its credit facility. It supplied additional bitcoin as collateral. In June, the company sold 632 bitcoin for $44.7 million, using $20 million to repay the facility and retaining the balance as unrestricted cash. Its investment treasury fell from 1,527 bitcoin at the end of 2025 to 194 at 30 June 2026, according to its second-quarter filing.

The repayment removed the collateralised debt and released excess collateral. That may have strengthened the balance sheet, but it also demonstrates why “hold indefinitely” is not always the operative reality. A company can rationally sell bitcoin to reduce financing risk, protect operations or satisfy obligations.

Collateralised borrowing adds path dependence. A temporary price decline can require more collateral or repayment before a long-term investment thesis has time to play out. The risk therefore depends not only on where Bitcoin eventually trades, but on how far it falls along the way and what the financing documents require during that decline.

Accounting clarity is not economic protection

New US accounting rules require qualifying crypto assets to be measured at fair value, with changes recognised in net income. The Financial Accounting Standards Board's standard gives investors a more current view than the former impairment-only model.

That improves visibility, but it can make reported earnings exceptionally volatile. A large unrealised gain can dominate a quarter without producing cash for dividends, interest or operating costs. A large unrealised loss can reverse the picture even when the company has not sold a coin.

Investors should therefore separate three questions: how the bitcoin reserve changed in value, how the operating business performed, and how the company funded its cash obligations. Net income alone may blur those answers.

Five tests for investors

A disciplined review of a Bitcoin treasury company should begin with five measures.

  1. Net bitcoin per diluted share. Gross holdings are incomplete. Subtract senior claims and account for securities that can dilute common shareholders.
  2. Cash-obligation coverage. Compare unrestricted liquid assets with the next 12 to 24 months of interest, preferred dividends and maturities.
  3. Financing terms. Identify collateral triggers, variable dividend rates, conversion features and repayment dates. These determine how volatility reaches shareholders.
  4. Funding use. Distinguish capital raised to acquire bitcoin from capital raised to pay earlier financing costs or support operations.
  5. Operating cash generation. A durable underlying business can contribute liquidity. A weak one may make the treasury asset the main available source of cash.

These tests also explain why two companies holding the same amount of bitcoin can present very different risks. One may have patient equity capital and ample cash. Another may face short maturities, costly preferred dividends or collateral calls.

What to watch next

The most revealing signals will not come only from Bitcoin's price.

Watch whether common shares trade at a premium or discount to net asset value, because that affects the economics of new issuance. Track changes in diluted shares alongside bitcoin holdings. Follow reserve coverage, preferred dividend rates, debt maturities and any use of bitcoin monetisation programmes. For collateralised borrowers, examine maintenance thresholds and how much of the treasury is restricted.

It is also worth comparing management's bespoke performance measures with conventional cash-flow and balance-sheet data. Bitcoin per share can be useful, but it is not a substitute for understanding senior claims, dilution and liquidity.

Its strongest practitioners may use scale, market liquidity and flexible funding to increase bitcoin exposure without placing the company under immediate strain. Its weaker versions can turn a volatile asset into a source of collateral pressure, dilution and recurring cash demands.

The central question is no longer simply whether Bitcoin rises. It is whether the company can survive the path, finance its obligations on acceptable terms and leave common shareholders with more net bitcoin exposure after every layer of the capital structure is counted.

For investors, the coin total is the beginning of the analysis—not the conclusion.
